Genworth Financial Announces Results of Annual Meeting
Genworth Financial, Inc. (NYSE: GNW) announced the election ofall nine director nominees at its 2024 annual meeting ofstockholders today. The board members re-elected were G. KentConrad, Karen E. Dyson, Jill R. Goodman, Melina E. Higgins, ThomasJ. McInerney, Howard D. Mills, III, Robert P. Restrepo Jr., ElaineA. Sarsynski, and Ramsey D. Smith.
At the annual meeting, stockholders also approved the advisoryvote on named executive officer compensation. In addition,stockholders ratified the selection of KPMG LLP as Genworth’sindependent registered public accounting firm for 2024.
In addition, stockholders approved an Amended and RestatedCertificate of Incorporation to (i) remove all references to legacyGE provisions including the removal of references to Class B commonstock and renaming Class A common stock and (ii) providestockholders the right to request the calling of a special meetingof stockholders at a 25% ownership threshold. The terms of theAmended and Restated Certificate of Incorporation are described ingreater detail in our Definitive Proxy Statement filed with theSecurities and Exchange Commission on April 8, 2024.
Genworth also intends to amend and restate its Bylaws to makesimilar conforming changes. It is expected that the Amended andRestated Certificate of Incorporation and Amended and RestatedBylaws will become effective early next month.
